Terms of Service

1. Acceptance of terms

By accessing or using CallBuddy (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting these Terms on behalf of a medical practice or other organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2. Description of service

CallBuddy is a web-based scheduling platform that helps physician practices automate the creation and management of call schedules. The Service includes schedule generation, physician portal access, time-off request workflows, email notifications, and related features as described on our website.

CallBuddy is a scheduling and administrative tool only. It is not a medical device, clinical decision support system, or healthcare provider. Nothing in the Service constitutes medical advice.

3. Account registration and access

You must create an account to use the Service. You agree to provide accurate, current information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

Practice administrators are responsible for managing physician accounts within their practice, including creating accounts, assigning roles, and ensuring that all users comply with these Terms.

You must be at least 18 years old to create an account.

4. Subscription plans and billing

Free tier. The Free plan is available at no charge and includes access to core scheduling features subject to the limitations described on our pricing page. No payment information is required for the Free plan.

Pro plan. The Pro plan is a paid subscription billed monthly or annually. Fees are charged in advance. Subscriptions automatically renew unless cancelled before the renewal date.

Changes to pricing. We may change subscription prices with at least 30 days’ notice. Price changes take effect at your next renewal date.

Refunds. We do not offer refunds for partial subscription periods. If you cancel, your access continues until the end of the current paid period.

Taxes. Prices do not include applicable taxes, which are your responsibility.

5. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation, including those governing healthcare privacy
• Upload or transmit malicious code, viruses, or disruptive content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service for any purpose other than managing physician call schedules and related administrative tasks
• Resell, sublicense, or otherwise make the Service available to third parties outside your practice without our written consent

6. Intellectual property

The Service, including its software, design, features, and content, is owned by CallBuddy and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, trade secrets, or source code.

You retain all ownership of the data you upload or create within the Service. We claim no intellectual property rights over your practice data, provider information, or schedules.

7. Your data

You grant CallBuddy a limited license to store, process, and display your data solely as necessary to provide the Service. We do not sell your data to third parties.

You are responsible for ensuring that any personal information you enter into the Service — including physician names, email addresses, and scheduling information — is collected and used in accordance with applicable privacy laws.

Upon termination of your account, we will retain your data for 30 days during which you may request an export. After that period, your data will be deleted from our systems.

8. Confidentiality

Each party agrees to keep the other’s confidential information secure and not to disclose it to third parties without consent, except as required by law. Your practice data is your confidential information. Our proprietary software and business information is ours.

Note: CallBuddy is a scheduling administration tool and is not intended to store protected health information (PHI) as defined by HIPAA. You should not enter patient information or clinical data into the Service.

9. Disclaimers and limitations

The Service is provided “as is” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of security vulnerabilities.

To the maximum extent permitted by law, CallBuddy’s total liability to you for any claim arising from these Terms or your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.

Neither party is liable for indirect, incidental, special, or consequential damages, even if advised of the possibility of such damages.

10. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account if you materially breach these Terms and fail to cure the breach within 14 days of notice, or immediately if required for legal or security reasons.

Upon termination, your right to use the Service ends. Sections 6, 7, 8, 9, and 12 survive termination.

11. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of [YOUR STATE/JURISDICTION], without regard to conflict of law principles. Any disputes will be resolved in the courts of [YOUR STATE/JURISDICTION].
